Versalence provides AI consulting, custom AI agents, automation and integration services, data and intelligence systems, voice AI solutions, performance marketing support, productized software, and related digital services. Specific project scope, deliverables, pricing, timelines, service levels, and commercial terms may also be governed by a separate proposal, statement of work, order form, or signed agreement.
Where a signed project agreement conflicts with these Terms, the signed agreement will govern for that specific engagement.

Project timelines and outcomes may be affected by delays in client feedback, incomplete requirements, third-party platform constraints, infrastructure issues, or changes in scope. Versalence is not responsible for delays caused by dependencies outside our direct control.

You agree not to use Versalence services, systems, or deliverables to:
- Violate applicable law, regulation, platform policy, or third-party rights
- Transmit malware, spam, phishing content, or malicious automation
- Infringe privacy, intellectual property, confidentiality, or publicity rights
- Process regulated or highly sensitive data in a manner not disclosed and agreed in writing
- Deploy harmful, deceptive, or abusive AI behavior or workflow automation
We may suspend or terminate access where we reasonably believe your use creates legal, operational, or security risk.
Intellectual Property
Unless otherwise agreed in writing, all website content, branding, frameworks, internal methods, templates, documentation, prompts, workflows, software components, and pre-existing tools developed or owned by Versalence remain the property of Versalence.
Client-owned content, trademarks, and materials remain the property of the client. Custom deliverables created specifically for a client may be licensed or assigned according to the governing proposal or signed agreement. Reusable know-how, generic code patterns, libraries, connectors, deployment practices, and internal accelerators remain ours unless expressly assigned.
Third-Party Platforms And AI Providers
Our services may integrate with or depend on third-party platforms and providers, including cloud platforms, analytics tools, communication providers, social media platforms, AI providers, and automation tools. Their availability, policy changes, pricing, output quality, and service interruptions are outside our direct control.
You acknowledge that AI-generated outputs may be probabilistic, incomplete, or incorrect and should be reviewed appropriately before being relied upon in production, legal, financial, medical, or other high-stakes contexts.
Fees, Billing, Refunds, And Cancellation
Fees for paid services are governed by the applicable proposal, order form, subscription plan, or agreement. Unless otherwise stated in writing, invoices are due according to the payment terms on the invoice or agreement.
Because consulting, delivery, setup, implementation, and reserved capacity involve committed work, fees already earned or work already performed are non-refundable unless expressly stated otherwise in a signed agreement. Subscription or recurring services may require advance notice for cancellation or non-renewal, as specified in the applicable commercial document.
Confidentiality
Each party may receive confidential or proprietary information from the other. You agree not to disclose our confidential information without permission, and we will not disclose your confidential information except as needed to deliver services, comply with law, or work with approved subcontractors and providers under appropriate obligations.
